TERMS AND CONDITIONS SERVICE AGREEMENT
Welcome to Spotlight Photos, LLC. These Terms and Conditions govern the real estate photography, videography, drone, and related media services provided by Spotlight Photos, LLC (“Company,” “we,” “us,” or “our”) to the client booking our services (“Client,” “you,” or “your”). By scheduling a shoot or utilizing our media, you agree to be bound by these terms.
1. Booking, Fees, & Payments
Retainer & Payment: A deposit or full payment may be required at the time of booking to secure your scheduled time slot.
Balance Due: All final balances must be paid in full prior to or upon delivery of the media. We do not release high-resolution, un-watermarked images or video links until the invoice balance is paid in full.
Travel Fees: Due to the unique geography of the Florida Keys, a travel fee may apply to properties located outside our standard service radius or requiring transit across major island gaps. Any such fees will be disclosed prior to the shoot.
2. Cancellation, Rescheduling, & Weather Policies
Notice Required: We require at least 72 hours' notice for any cancellation or rescheduling.
Late Cancellations: Cancellations or rescheduling requests made within 72 hours of the scheduled shoot may incur a fee up to 50% of the total service cost. Same-day or on-site cancellations will be billed at 100% of the service rate.
Inclement Weather: The Florida Keys experience frequent tropical weather changes. If severe weather (e.g., heavy rain, high winds, hurricane warnings) makes it impossible or unsafe to shoot—particularly for drone/aerial operations—we will work with the Client to reschedule the exterior/aerial portion at no additional cost. The interior shoot will proceed as scheduled if safe.
3. Property Preparation & "As-Is" Policy
Agent/Homeowner Responsibility: The Client is entirely responsible for ensuring the property is clean, decluttered, and staged prior to the photographer’s arrival.
"As-Is" Shooting: Properties will be photographed "as is". Our photographers do not clean, dust, move furniture, or handle trash.
Return Trips: If a photographer must return to the property because it was not ready, or because additional sections are requested that were not specified in the original booking, a minimum return fee of $100 plus standard asset rates will apply.
Safety & Pets: The Client must ensure there are no safety hazards on site. All pets must be secured or removed from the property during the shoot.
4. Intellectual Property & Usage Licensing
Copyright Ownership: Spotlight Photos, LLC retains exclusive copyright and ownership of all photographs, videos, drone footage, 3D tours, and floor plans generated during the session.
Limited Usage License: Upon full payment, the Client is granted a Limited, Non-Exclusive, Non-Transferable License to use the media solely for the marketing and promotion of the specific property listing.
License Duration: This license is valid for the duration of the active listing, up to a maximum of one (1) year from the date of the shoot. If the property is taken off the market or sold, the license expires.
No Third-Party Transfers: You may not sell, lease, give away, or transfer the media to any third party—including other real estate agents, buyers, homeowners, builders, stagers, or interior designers—without the express written consent of Spotlight Photos, LLC. If a listing expires and a new agent takes over the property, that agent must purchase a new license from us to use the media.
5. Aerial & Drone Services
FAA Compliance: All drone operations are conducted in strict compliance with FAA Part 107 regulations.
Flight Restrictions: Flight clearances are subject to airspace restrictions, proximity to local airports/heliports, and weather conditions. Spotlight Photos, LLC reserves the right to cancel drone operations on-site if safety or legal regulations are compromised. No drone fees will be charged if we are legally unable to fly.
6. Media Delivery & Storage
Turnaround Time: Standard HDR still photos are typically delivered by next-day business hours. Video walkthroughs, virtual staging, and 3D tours may require 48 to 72 hours for processing and editing.
Hosting Duration: Delivered media will be hosted online for one (1) year following the shoot date. The Client is strictly responsible for downloading and permanently saving all files before this hosting period ends.
7. Limitation of Liability & Indemnification
Artistic Discretion: Spotlight Photos, LLC will make every reasonable effort to capture high-quality media, but final compositions, editing choices, and lighting styles remain at our creative discretion.
Limit of Liability: In the unlikely event that digital files are lost, stolen, or corrupted due to equipment malfunction or technical errors, our total liability is strictly limited to a full refund of the amount paid for the service, or a complimentary re-shoot.
Indemnification: The Client agrees to indemnify and hold harmless Spotlight Photos, LLC, its members, and contractors against any claims, damages, liabilities, or expenses arising from the photographer's presence on the property or the publication of the media (including claims regarding invasion of privacy or property damage).
8. Governing Law
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal actions arising from this agreement must be filed in the courts of Monroe County, Florida.
